Terms of service
The commercial and operational terms for the Sidecar Data platform and the engineering service that comes with it.

Agreement
These terms govern your use of the Sidecar Data platform, agents, and services. By creating an account or using the service you agree to them on behalf of your organization.
The service
Sidecar provides a context layer, data operations agents, and a dedicated forward deployed data engineer included in the platform subscription. Scope of engineering work is agreed with your team during onboarding and reviewed on a recurring basis.
Your responsibilities
You are responsible for how your team uses the service.
- Keep credentials secure and manage user access in your account.
- Grant Sidecar only the permissions required for the agreed scope of work.
- Ensure you have the right to connect the systems and data you connect.
- Review agent proposed changes before they are applied to production.
Fees and billing
Subscriptions are billed in advance on the term stated in your order. Fees are non refundable except where required by law. Overages, if any, are billed on the following invoice. Prices may change at renewal with 30 days notice.
Trials
Free trials run for the period stated at signup. During a trial the service is provided as is, without the availability commitments of a paid subscription. You can cancel before the trial ends without charge.
Your data
You retain all rights to your data and metadata. We process it only to provide the service, as described in our privacy policy. On termination we delete it within 30 days unless you request an export first.
Confidentiality
Each party protects the other's confidential information with the same care it uses for its own, and uses it only to perform under these terms.
Availability and support
We target 99.9% monthly availability for the platform, excluding scheduled maintenance and factors outside our control. Support response targets are defined in your order.
Warranties and liability
The service is provided with commercially reasonable skill and care. To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and each party's total liability is capped at the fees paid in the 12 months before the claim.
Term and termination
Either party may terminate for material breach that goes uncured for 30 days. You may cancel a subscription at the end of the current term. Sections on confidentiality, data, and liability survive termination.
Governing law
These terms are governed by the laws of the State of New York, and the parties submit to the exclusive jurisdiction of its courts.
